Terms of Use

1) Acceptance of Terms

By accessing or using any part of the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. Where separate written terms are signed by Summerland Plus and you, those control to the extent of any conflict.

2) Eligibility & Accounts

• Eligibility. You must be the age of majority in your jurisdiction (or have parental consent where permitted by law) to use the Services.
• Account Registration. You agree to provide accurate information, keep credentials confidential, and notify us promptly of any unauthorized use.
• Security. You are responsible for all activity under your account. We may enable security features (e.g., MFA) and may require updates for safety.

3) Changes to Terms

We may revise these Terms from time to time. We will post the updated Terms with a new “Last updated” date and, where appropriate, provide additional notice. Continued use of the Services after changes become effective constitutes acceptance.

4) Services & Availability

• Services. We provide online services, features, and content that may evolve over time.
• Availability. We aim for high availability but do not guarantee uninterrupted or error-free operation. Maintenance, updates, or events beyond our control may affect the Services.
• Beta/Trial Features. Certain features may be identified as beta, preview, or trial and are provided “as is” for evaluation.

5) Acceptable Use & Prohibited Conduct

You agree not to misuse the Services. Prohibited conduct includes (without limitation):

• Violating applicable laws or regulations;
• Infringing intellectual property or privacy rights;
• Attempting to gain unauthorized access or interfering with security or integrity;
• Reverse engineering, decompiling, or scraping where not permitted;
• Transmitting malware, spam, or harmful code;
• Impersonating others or misrepresenting affiliation;
• Collecting personal data without consent or lawful basis.

6) User Content & Licenses

You retain ownership of content you submit to the Services (“User Content”). You grant Summerland Plus a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your User Content solely as necessary to operate and improve the Services.

You represent you have necessary rights to your User Content and that it does not violate these Terms or applicable laws. We may remove content that we reasonably believe violates these Terms.

7) Intellectual Property

The Services, including software, designs, text, graphics, logos, and trademarks, are owned by or licensed to Summerland Plus and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, or create derivative works of the Services.

8) Fees, Billing & Taxes

• Fees. Paid features or subscriptions are billed according to the plan presented at purchase.
• Billing. You authorize us (and our payment processors) to charge your payment method for due amounts. Unless stated otherwise, charges are non-refundable.
• Taxes. Prices may exclude taxes; you are responsible for applicable taxes, duties, and government charges.

9) Third-Party Services & Links

The Services may link to or interoperate with third-party websites, apps, or services. We do not control and are not responsible for third-party content or practices. Your use of third-party services may be subject to their terms and policies.

10) Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11) Limitation of Liability

To the maximum extent permitted by law, Summerland Plus and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services.

Our total liability for any claims under these Terms is limited to the greater of (a) the amounts you paid to us for the Services in the 12 months before the event giving rise to liability, or (b) USD $100.

12) Indemnification

You agree to indemnify and hold harmless Summerland Plus and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or misuse of the Services.

13) Suspension & Termination

We may suspend or terminate your access to the Services immediately if we reasonably believe you have violated these Terms or if required by law. You may stop using the Services at any time. Certain provisions, by their nature, will survive termination (e.g., intellectual property, disclaimers, limitations of liability, indemnification).

14) Governing Law, Dispute Resolution & General

• Governing Law & Venue. These Terms are governed by the laws of your local jurisdiction where Summerland Plus operates, without regard to conflict-of-law rules. Unless otherwise required by law, courts located in Beirut, Lebanon shall have exclusive jurisdiction.
• Dispute Resolution. Before filing suit, the parties will attempt to resolve disputes in good faith. Nothing restricts either party’s right to seek injunctive or equitable relief.
• Export Compliance. You must comply with applicable export control and sanctions laws.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or asset sale.
• Entire Agreement. These Terms, together with policies referenced herein, constitute the entire agreement between you and Summerland Plus regarding the Services.
• Severability; Waiver. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver.
• Notices. We may provide notices via the Services, email, or to your account. You agree that electronic notices satisfy legal communication requirements.
